These Terms of Service (“Terms”) govern your access to and use of the PAYRIZ App operated by PAYRIZ, a Delaware C Corporation with its registered agent address at 8 The Green, Suite A, Dover, Delaware (DE) 19901, USA (“PAYRIZ”, “Company”, “we”, or “us”).

PAYRIZ operates solely as a technology platform. The Services provided consist exclusively of a non-custodial software interface that enables users to access and interact with services offered by independent third-party providers.

By accessing or using the App, you agree to be bound by these Terms, along with our Privacy Policy and any additional applicable terms.

DEFINITIONS (REFINED)

Account
A user profile that enables access to the App and third-party integrations. It does not constitute a wallet, bank account, or custodial account.

Card Off-ramp
A service that converts digital assets into fiat currency for spending via cards issued by third-party providers such as Rain. PAYRIZ does not issue or control these cards.

Digital Assets
Cryptographic assets such as cryptocurrencies and stablecoins.

Digital Wallet
A non-custodial wallet controlled solely by the user and provided via partners like Privy. PAYRIZ does not access or control wallets or private keys.

Fees
Charges related to use of the App or integrations, clearly disclosed before use.

Fiat Currency
Government-issued currencies such as USD, EUR, or GBP.

Financial and Digital Asset Services
Services such as custody, payments, and card issuance provided exclusively by third-party providers. PAYRIZ does not provide these services.

KYC
Identity verification processes required by partners.

App
The PAYRIZ application, acting as a non-custodial interface to third-party services.

Services
Features enabling interaction with third-party providers. PAYRIZ does not provide financial or custodial services.

Third-Party Providers
Independent providers such as Rain and Privy offering financial or wallet services.

User
Any individual using the App.

ELIGIBILITY

You must be at least 18 years old to use the App. Access may be restricted in certain jurisdictions.

By using the App, you confirm that:

• You have read and accepted these Terms and the Privacy Policy
• Your information is accurate
• You are acting on your own behalf

Users in sanctioned or restricted jurisdictions are prohibited from using the App.

ACCOUNT

To use the Services, you must create an Account and complete KYC/AML verification as required by our partners.

Your wallet is created and controlled by you via third-party providers such as Privy. PAYRIZ does not store or access your wallet or private keys.

Card services are provided by Rain and are subject to their own approval, terms, and compliance checks.

DESCRIPTION OF SERVICES

PAYRIZ provides a non-custodial interface that allows users to:

• Access and manage digital asset services through third parties
• Connect wallets and initiate transactions
• Use off-ramp services such as crypto-backed cards

PAYRIZ does not:

• Hold or manage funds or assets
• Execute financial transactions
• Provide banking or investment services

All services are delivered by third-party providers under their own terms.

THIRD-PARTY PROVIDERS

Services such as wallet infrastructure (Privy) and card/off-ramp services (Rain) are operated independently.

PAYRIZ does not control or guarantee these services and is not responsible for their performance, compliance, or availability.

FEES

Fees may apply for using certain features or integrations. These may include:

• Transaction facilitation fees
• Premium feature fees
• Partner-related fees

All fees are disclosed before use and may be updated with prior notice.

USER OBLIGATIONS

You agree to:

• Provide accurate information
• Maintain account and wallet security
• Comply with all applicable laws

You must not:

• Engage in illegal or fraudulent activities
• Attempt unauthorized access
• Use the App in a harmful or abusive manner

RISKS

Using digital assets involves risks, including:

• Market volatility
• Loss of access to wallets or private keys
• Third-party service failures

PAYRIZ does not guarantee asset value, transaction success, or service availability.

LIMITATION OF LIABILITY

The App is provided “as is” without warranties.

PAYRIZ is not responsible for:

• Loss of digital assets
• Failures of third-party services
• Transaction errors or delays

Liability is limited to the lesser of $100 or the fees paid in the past 12 months.

TERMINATION

We may suspend or terminate access if required by law, risk concerns, or violations of these Terms.

You may stop using the App at any time and retain full control of your wallet.

PRIVACY

Your data is processed in accordance with our Privacy Policy.

CHANGES

We may update these Terms with prior notice. Continued use means acceptance.
